About these terms

These terms of purchase apply to agreements between LC Group Sweden AB, company reg. no. 559584-4464 ("we", "us", "Light Control"), and the business customer ordering goods from us ("you", "the customer").

We sell to businesses only. Consumer sales legislation does not apply.

Deviating terms in the customer's own purchase order, procurement terms or purchasing conditions apply only if we have expressly accepted them in writing.

Account and ordering

Ordering requires an approved business account. Applications are made through the website and are reviewed manually before the account is activated.

An agreement is concluded when we confirm the order in writing, by email or through the portal. An order confirmation is sent to the email address linked to the customer account.

We reserve the right to decline or cancel an order, for example where an item is sold out, where a price or product description is obviously incorrect, where the order cannot be fulfilled by our logistics partner or supplier, or where a credit assessment does not permit the purchase.

The customer is responsible for ensuring that all order information is correct, including product selection, quantity, delivery address, invoice details, VAT number and any project reference.

Prices

Prices are stated excluding VAT unless otherwise indicated.

Prices may be customer-specific and may be shown only when the customer is signed in to an approved account.

Prices may be stated in SEK, DKK, NOK, EUR or another agreed currency depending on the relevant market and customer setup.

We reserve the right to adjust prices as a result of changes in exchange rates, supplier prices, duties, taxes, transport costs, public charges or other circumstances outside our reasonable control. We also reserve the right to correct obvious clerical, technical or pricing errors.

Payment

Payment is made by invoice on the payment terms agreed for the customer account.

Unless otherwise agreed in writing, standard payment terms are 30 days net from invoice date.

Credit is subject to approval and may be changed, suspended or withdrawn if payment is delayed, if the credit limit is exceeded, or if there are reasonable grounds to believe that the customer's payment ability has changed.

In the event of late payment, interest accrues in accordance with the Swedish Interest Act, together with statutory reminder fees, collection fees and any other costs reasonably incurred due to the late payment.

We reserve the right to withhold further deliveries until overdue amounts have been paid.

Delivered goods remain our property until payment has been made in full, to the extent such retention of title is valid under applicable law.

Delivery

Delivery is made to the delivery address stated in the order.

Unless otherwise agreed or stated in the order confirmation, delivery is made DAP, delivery address, Incoterms 2020.

Freight charges, handling fees and other delivery-related costs are added unless otherwise agreed.

Deliveries may be handled by our logistics partner, supplier or a third-party carrier. The customer acknowledges that delivery times may depend on stock availability, supplier lead times, transport conditions and the logistics partner's order handling.

Stated delivery times are estimates unless we have expressly confirmed a binding delivery date in writing.

In the event of a delay, we will notify the customer as soon as reasonably possible. A delay entitles the customer to cancel the delayed part of the order only after a reasonable additional period has been given in writing and the delay remains unresolved.

Partial deliveries and backorders

We may deliver an order in several shipments if products are available at different times.

Delivered order lines may be invoiced separately. Products not yet delivered may remain as backorders, be delivered later or be cancelled by agreement.

Inspection on receipt and transport damage

The customer must inspect the goods immediately upon receipt.

Visible transport damage, missing packages or shortages must be noted on the consignment note or carrier documentation and reported to us without delay, and no later than seven (7) days from delivery.

Concealed transport damage must be reported without delay after discovery, and no later than thirty (30) days from delivery.

Failure to report transport damage or shortages in time may result in the customer losing the right to claim compensation or replacement.

Returns

Business purchases are not covered by a statutory right of withdrawal.

Returns of non-defective goods require our prior written approval. The goods must be unused, undamaged and in unopened original packaging.

Returns must be registered through the returns process stated on the website or otherwise instructed by us.

Return freight is paid by the customer unless otherwise agreed.

A reasonable handling or restocking fee may apply to approved returns of non-defective goods. Any such fee will be confirmed before the return is approved.

Specially ordered, configured, project-specific or discontinued items cannot be returned unless we have expressly agreed otherwise in writing.

Complaints and warranty

Complaints must be made without unreasonable delay after the defect was discovered or should have been discovered.

Product warranties apply in accordance with the relevant manufacturer's warranty terms, unless otherwise stated for the individual product or expressly agreed in writing.

Our obligation in relation to defective goods is limited to, at our option, remedying the defect, making a replacement delivery, crediting the goods or assisting the customer in handling the matter under the manufacturer's warranty.

The warranty does not cover defects caused by normal wear and tear, incorrect installation, inadequate maintenance, external influence, incorrect handling, unauthorised modification, use contrary to product documentation, or use outside the intended application.

Unless expressly agreed in writing, we do not reimburse installation costs, troubleshooting costs, dismantling costs, production losses or other indirect costs related to a defective product.

Product information and installation

Information in product descriptions, data sheets, drawings, images, calculations and other technical material is indicative unless expressly confirmed in writing.

The customer is responsible for ensuring that the selected product is suitable for the intended application and that installation, commissioning and use comply with applicable laws, regulations, standards and product documentation.

Products must be installed by qualified professionals where required.

Limitation of liability

Our aggregate liability for an order is limited to the value of that order.

We are not liable for indirect loss, including loss of profit, loss of production, loss of business opportunity, loss of data, third-party claims or other consequential loss.

The limitation of liability does not apply in cases of intent or gross negligence, or where liability cannot be limited under mandatory law.

Force majeure

A party is released from liability for failure to perform its obligations where the failure is due to a circumstance beyond that party's reasonable control and which the party could not reasonably have foreseen or avoided.

Such circumstances may include, but are not limited to, war, strikes, lockouts, transport disruptions, supplier disruptions, energy shortages, cyber incidents, natural disasters, pandemics, government actions, import or export restrictions, material shortages or other events of a similar nature.

The affected party must notify the other party without unreasonable delay.

Changes to these terms

We may update these terms from time to time. The version published on the website at the time of order applies, unless otherwise expressly agreed in writing.

Governing law and disputes

Swedish law applies to the agreement.

Disputes shall primarily be resolved through negotiation between the parties.

If the parties cannot resolve the dispute through negotiation, the dispute shall be settled by the ordinary courts of Sweden, with Gothenburg District Court as the court of first instance.
